TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, MOD PIZZA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT:

We make no warranties or representations regarding the accuracy, completeness, or timeliness of any nutritional information, allergen information, ingredient lists, or other food-related content displayed on our Website. You should always consult with a qualified healthcare professional or registered dietitian regarding dietary decisions, especially if you have food allergies, intolerances, or specific dietary requirements. Cross-contamination with allergens may occur in our food preparation environments, and we cannot guarantee that any menu item is entirely free from any allergen.
Nothing in these Terms shall affect any statutory rights that you are entitled to as a consumer under applicable United States federal or state laws, which cannot be waived or limited by contract.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MOD PIZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, PARTNERS, LICENSORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

- Any food products purchased through our Website, including any illness, injury, or allergic reaction
- Any interruption, suspension, or termination of our services

IN NO EVENT SHALL THE TOTAL LIABILITY OF MOD PIZZA TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OUR WEBSITE OR SERVICES EXCEED THE GREATER OF: (A) ONE HUNDRED DOLLARS ($100.00) OR (B) THE TOTAL AMOUNT PAID BY YOU TO MOD PIZZA IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.
Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation or exclusion may not apply to you. In such cases, our liability shall be limited to the maximum extent permitted by applicable law.
9. Indemnification
You agree to defend, indemnify, and hold harmless Mod Pizza, its officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

- Your violation of any applicable law, regulation, or rule
- Any misrepresentation made by you
- Any dispute between you and any third party
We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You agree not to settle any such matter without our prior written consent. We will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.
10. Privacy Policy
Your use of our Website is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy describes how we collect, use, store, and disclose information about you when you use our Website and services. By using our Website, you consent to our collection and use of personal data as outlined in our Privacy Policy.
We are committed to complying with applicable United States privacy laws, including the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA), where applicable, and the Federal Trade Commission Act (FTC Act). California residents may have additional rights regarding their personal information as described in our Privacy Policy.
11. Food Safety and Allergen Information
Mod Pizza takes food safety seriously and strives to comply with all applicable federal, state, and local food safety regulations, including those established by the United States Food and Drug Administration (FDA) and the United States Department of Agriculture (USDA). We are committed to maintaining high standards of food preparation and handling.
However, we cannot guarantee that any of our products are entirely free from any particular allergen. Our food products are prepared in environments where common allergens, including but not limited to gluten, dairy, eggs, nuts, soy, and shellfish, may be present. If you have a food allergy, intolerance, or dietary restriction, you are solely responsible for making informed decisions about your food choices. We strongly encourage you to consult with our staff before placing an order and to seek medical advice if you have concerns about food allergies.
The nutritional and ingredient information provided on our Website is for general informational purposes only and may not be entirely accurate due to variations in food preparation, ingredient sourcing, and seasonal availability. We are not liable for any adverse reactions or health consequences arising from the consumption of our food products.
12. Governing Law and Jurisdiction
These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and the laws of the state in which our principal place of business is located, without regard to any conflict of law principles that would require the application of the laws of a different jurisdiction.
You agree that any legal action or proceeding arising out of or relating to these Terms or your use of our Website shall be brought exclusively in the federal or state courts of competent jurisdiction in the United States. You hereby irrevocably consent and submit to the personal jurisdiction of such courts for such purposes and waive any objection to the laying of venue in such courts. You further waive any right to a jury trial in connection with any action or litigation in any way arising out of or related to these Terms.
These Terms are subject to all applicable federal laws of the United States, including the Federal Trade Commission Act (FTC Act) governing unfair or deceptive acts or practices in commerce, the Electronic Communications Privacy Act, and all other applicable federal consumer protection statutes. Nothing in these Terms limits or excludes any rights you may have under applicable mandatory consumer protection laws.
13. Dispute Resolution and Arbitration
We encourage you to contact us first to resolve any dispute informally. If you have a dispute with us, please contact us at [email protected] and give us an opportunity to resolve the issue before initiating formal legal proceedings.
Binding Arbitration: Except as otherwise provided in these Terms, any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be finally settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted in English, and the arbitrator's award shall be final and binding on both parties. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
Class Action Waiver: YOU AND MOD PIZZA AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and Mod Pizza agree, no arbitrator or judge may consolidate more than one person's claims or otherwise preside over any form of representative or class proceeding.
Exceptions: Nothing in this arbitration provision prevents either party from seeking emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending the resolution of arbitration. Additionally, claims relating to intellectual property infringement may be brought in a court of competent jurisdiction.
Opt-Out Right: You have the right to opt out of this binding arbitration provision by sending written notice to us at [email protected] within thirty (30) days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of arbitration. If you opt out, you retain the right to pursue your claims in court.
14. Term and Termination
These Terms of Service shall remain in full force and effect while you use our Website or services. We reserve the right, in our sole discretion, to:
- Suspend or terminate your access to the Website or any part thereof immediately, without notice or liability, for any reason, including if we believe that you have violated or acted inconsistently with these Terms
- Discontinue the Website or any services at any time without notice
- Refuse service to anyone for any reason at any time
Upon termination, your right to use the Website and services will immediately cease. If your account is terminated, we may delete any content or information associated with your account. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation: ownership provisions, warranty disclaimers, indemnity obligations, limitations of liability, governing law provisions, and dispute resolution provisions.
You may terminate your account at any time by contacting us at [email protected]. Termination of your account does not relieve you of any obligations you may have incurred prior to termination, including outstanding payment obligations.
15. Changes to Terms of Service
We reserve the right to modify, amend, or update these Terms of Service at any time and at our sole discretion. We will provide notice of any material changes by updating the "Last Updated" date at the top of this page and, where appropriate, by sending you an email notification to the address associated with your account, or by displaying a prominent notice on our Website.
All changes to these Terms are effective immediately upon posting to the Website, unless we specifically state otherwise. Your continued use of the Website following the posting of revised Terms means that you accept and agree to the changes. You are encouraged to review these Terms periodically to stay informed of any updates. If you do not agree to the revised Terms, you must stop using our Website and services immediately.
If we make material changes to these Terms that affect your rights in a significant way, we will endeavor to provide you with at least thirty (30) days' advance notice before the changes take effect, where reasonably practicable to do so.
16. Severability
If any provision of these Terms of Service is held to be invalid, illegal, or unenforceable under applicable law by a court of competent jurisdiction or an arbitrator, such provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the relevant provision shall be deemed deleted. The invalidity, illegality, or unenforceability of any provision shall not affect or impair the validity, legality, and enforceability of the remaining provisions of these Terms, which shall continue in full force and effect.
No waiver by us of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
17. Entire Agreement
These Terms of Service, together with our Privacy Policy and any other legal notices or policies published by us on the Website, constitute the entire agreement between you and Mod Pizza concerning your use of the Website and services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.
No oral or written information or advice given by us or our authorized representatives shall create any warranty. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign or transfer our rights and obligations under these Terms without restriction. Any attempted assignment by you in violation of this section shall be void.
These Terms do not create any partnership, joint venture, employment, franchise, or agency relationship between you and Mod Pizza. You do not have the authority to make any representations, commitments, or agreements on our behalf.
18. Force Majeure
We shall not be liable or responsible to you for any failure or delay in fulfilling or performing any provision of these Terms or any of our obligations under these Terms that is caused by events outside our reasonable control, including but not limited to acts of God, natural disasters, epidemics, pandemics, government actions or restrictions, civil disturbances, war, terrorism, labor disputes, supply chain disruptions, power outages, or failures of the internet or telecommunications networks (a "Force Majeure Event").
Our obligations under these Terms will be suspended for the duration of the Force Majeure Event. We will use reasonable endeavors to find a solution by which our obligations may be performed despite the Force Majeure Event. We will notify you as soon as reasonably practicable if a Force Majeure Event prevents us from performing our obligations.
19. Electronic Communications
By using our Website and services, you consent to receiving electronic communications from us. These communications may include, but are not limited to, notices about your account, order confirmations, promotional offers, and other information relating to our services. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
You may opt out of receiving promotional communications from us at any time by following the unsubscribe instructions provided in any promotional email or by contacting us at [email protected]. Please note that even if you opt out of promotional communications, you will continue to receive transactional and account-related communications.
